Terms of Service

1. Acceptance of terms

By accessing or using Loomal's services — including the website at loomal.ai, the console, the API, the Paywall SDK, hosted endpoints, and any commerce integrations (collectively, the “Services”) — you agree to be bound by these Terms of Service. If you do not agree, do not use the Services.

2. What Loomal provides

Loomal is payment infrastructure for agentic commerce. It lets you accept payments from AI agents for the things you sell: products on a connected store, HTTP endpoints, MCP tools, or files and content we host on your behalf. Payments use the x402 protocol and settle in USDC on the Base network, with a signed receipt for each transaction. Store integrations such as Shopify and WooCommerce may be offered as they become available.

3. Accounts and responsibilities

You are responsible for:

• Maintaining the security of your API keys and account credentials.
• All activity that occurs under your account and projects.
• The content, products, and endpoints you make payable through Loomal.
• Ensuring your use complies with applicable laws, taxes, and regulations.

4. Acceptable use

You agree not to use the Services to:

• Sell or deliver unlawful, infringing, or harmful content.
• Facilitate fraud, money laundering, or sanctions evasion.
• Circumvent, overload, probe, or disrupt the Services or network.
• Misrepresent what a paid endpoint delivers to a paying agent.

5. Payments and settlement

Each project is backed by a non-custodial smart wallet on Base. Loomal does not custody your funds; it relays the x402 payment handshake, verifies the payer's signed authorization, and settles the transfer on-chain. Settlement is final once confirmed on the blockchain. You set your prices, and you are responsible for any refunds, taxes, and reporting arising from your sales.

6. Your content and endpoints

You retain all rights to the products, content, and endpoints you sell through Loomal. For content you upload to hosted endpoints, you grant Loomal the limited rights needed to store and serve it to paying agents on your behalf. You represent that you have the rights to sell and distribute anything you make payable.

7. Fees

Loomal may charge fees for use of the Services, disclosed in the console or your plan. Network (gas) costs and any third-party facilitator costs may apply to on-chain settlement. We will give reasonable notice of changes to fees.

8. Disclaimers

The Services are provided “as is” without warranties of any kind. Blockchain transactions are irreversible and involve inherent risks, including price volatility and network conditions outside our control. Loomal does not guarantee uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, Loomal is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or funds, arising from your use of the Services.

10. Termination

We may suspend or terminate access to the Services for violation of these Terms or to comply with law. You may stop using the Services at any time.

11. Changes to these terms

We may update these Terms from time to time. Material changes will be reflected by the “last updated” date above. Continued use after a change constitutes acceptance.
